I have thought about this overnight and it seems easier to require the directors to put a special resolution to the next general meeting of members to be held under 249N of the Corps act. This requires 100 voting members to propose the resolution. Much easier wording to comply with. Then force a gen...

I've been a company sec long enough to be cynical about the Corps act. I reckon CPAA would say signed means signed but ASIC might give us some guidance. Electronic signatures might be acceptable but 5% is a lot of members!

I presume that the Resolution would lodged wth CPAA under section s249N of the Corps Act. This only needs 100 members to propose (or 5%). But the resolution would be put to the vote at the next general meeting held. I can't see anything in the constitution that allows us to lodge a members resolutio...

I have been down this path with a medium size ASX listed company who clearly breached its constitution to appoint a favoured director and then failed to confirm at the next AGM or offer renewal by rotation. ASIC didn't care, ASX didn't care. So don't look to them for enforcement of the regulations. ...
