Board of Directors Applications Open

Let's look in detail at our directors individually so the term 'the board' does not minimise their individual responsibility for decisions made and oversight in relation to many of these issues.

I guess that's what I'm wondering - are there any criteria in the constitution, about who may apply for a board seat?

I'm sure i even read there are seats for non-members of CPA Australia.

If i can find 5 minutes, i may even read the C properly.

(a) The Board shall be appointed by the Representative Council and shall
consist of a maximum of 12 Directors, such Directors being:
(i) up to 10 persons who are Members; and
(ii) up to 2 persons who are neither a Member nor an employee of the
Company.

So, the real power lies in the rep council, to appoint board members...

No. Representative Council is a rubber stamp they have about zero power. I know that we have been throwing a couple of ideas around on this topic but in practice they basically have zero power because of some things like:
* almost half are selected by Directors
* the have to follow director set procedures in the vote such as, they only get short listed applications a week before they vote and the names of other candidates at the time of the vote. They only see the info the Directors give them.
* after appointing the Directors they have no further role, so where is the accountability.

Pretty much.

Also:

1) The Rep Council can't sack a board member
2) It's my understanding that the head of the Rep Council is also the Chair of the Board! So much for being accountable!

Rep council applies the procedure given to them by the Board -
61 a) i) "...applying the election procedure (if any) from time to time prescribed by the Board.."

Rep council needs to politely ask Board to request Rep council for their opinion
61 a) ii) "at the request of the Board, to consider and provide guidance to the Board (through the chair of the Representative Committee) on Member issues"

I see no definition on the term "Representative", I think we just assumed it meant "members representative".

One other thing we don't even know who is on the Rep Council in 2017. CPAA has not published it.

I did not want to start a new topic so I am just continuing here. Does anyone know who "the consultant" is who is selecting or approving the nominations for Director positions with CPA? What is the application process? If I apply, do they just send out a rejection letter or does my application go to the "remainig CPA board" for approval or to members to preselect the candidates?

Given the vacancies they have quoted, they must have chosen the others from May 29.

Can we ask who has been selected? Who do we ask?

Is one of them Youngberry? His tenure was supposed to only until 30 Sep 2017.

Trouble is, with only 4 in this round post-Malley, chances of change are minimal.
