First resolution for your signature: Amend constitution to allow 200 members to call a Member meeting

Greetings all

Here is the resolution I am proposing be put on the agenda at the 2018 AGM on 22nd May:

That the members of CPA Australia Ltd vote to amend the company constitution as follows:

Article 21. Calling meetings of Members

(a) The Company may by resolution of the Board call a meeting of Members to be held at a time and place (including 2 or more venues using technology which gives Meeting Members as a whole a reasonable opportunity to participate) and in such manner that the Board resolves.

(b) The Board shall, upon a requisition made by 200 Members entitled to vote, convene a special meeting of Members provided that the requisition:
(i) is made in writing; and
(ii) states any resolution to be proposed at the meeting; and
(iii) is signed by the members making the request; and
(iv) is given to the company.

An explanatory memorandum is included in the attachments below to provide the rationale for this change - please do read it, this is important.
